About the Role
Glooscap Ventures is the economic development corporation of Glooscap First Nation. The organization invests in and manages businesses across multiple sectors including energy, seafood, retail, real estate, gaming, and other strategic ventures with the goal of creating long-term prosperity for the community.
The Corporate Secretary is responsible for supporting the governance framework of Glooscap Ventures and its affiliated entities. The role ensures the effective functioning of the Board of Directors, its committees, and sector operational boards while maintaining strong corporate governance, compliance, and record management practices.
This position serves as the central coordinator for governance across the Glooscap Ventures group of companies and helps ensure that board processes are professional, transparent, and aligned with governance best practices.
Duties:
1. Board of Directors Support
Provide governance and administrative support to the Glooscap Ventures Board of Directors.
Responsibilities include:
Coordinate and schedule meetings of the Board of Directors
Prepare board agendas in collaboration with the Chair and CEO
Distribute board materials and meeting packages in advance of meetings
Record and maintain accurate meeting minutes
Track board resolutions, motions, and action items
Maintain official board documentation and records
2. Committee Governance Support
Support governance processes for the Board’s standing committees.
Governance Committee
Responsibilities include:
Coordinate Governance Committee meetings
Maintain governance policies and board governance documentation
Assist with board evaluations and governance reviews
Support director onboarding and governance training
Maintain board skills matrix and governance development initiatives
Finance, Audit & Risk Committee (FAR)
Responsibilities include:
Coordinate FAR Committee meetings
Maintain documentation related to financial oversight and risk management
Track compliance requirements related to financial reporting and oversight
Support committee reporting to the Board of Directors
3. Sector Board Coordination
Glooscap Ventures operates through sector-based operational boards responsible for specific industries.
These boards may include sectors such as:
Energy
Seafood
Retail and Real Estate
Services
The Corporate Secretary will coordinate governance processes across these boards including:
Scheduling sector board meetings
Preparing agendas and meeting materials
Recording and maintaining meeting minutes
Maintaining board documentation and governance records
Ensuring reporting alignment between sector boards and the Glooscap Ventures Board of Directors
4. Corporate Records & Compliance
Maintain corporate governance records and compliance across Glooscap Ventures and its affiliated entities.
Responsibilities include:
Maintaining corporate records for Glooscap Ventures and affiliated entities
Managing corporate filings and annual returns where required
Maintaining registers of directors, officers, and corporate records
Maintaining official corporate resolutions and governance documentation
Tracking compliance obligations related to financing agreements, regulators, and partnerships
5. Governance Policy Management
Maintain and support governance policies across the organization.
Responsibilities include:
Maintaining governance policies including Conflict of Interest Policy
Delegation of Authority
Investment Policy
Board and Committee Terms of Reference
Governance procedures
Coordinating periodic policy reviews and updates
Maintaining the Directors Skills Matrix
Supporting implementation of governance best practices
6. Governance Planning & Calendar
Develop and maintain a governance calendar to support board effectiveness.
This includes:
Board meeting schedules
Committee meeting schedules
Annual general meetings
Governance policy review cycles
Compliance reporting requirements
Terms of Directors and Recruitment Cycles
The Corporate Secretary will support planning and documentation for major governance decisions and board initiatives.
Requirements

Qualifications
Degree in business administration, law, governance, or related field
Experience supporting boards of directors or corporate governance processes
Strong organizational and documentation skills
Ability to manage multiple governance processes simultaneously
High level of discretion and professionalism
Preferred qualifications include:
Governance certification (ICD.D, Chartered Governance Professionals of Canada, or similar)
Experience working with Indigenous organizations or economic development corporations
Experience working with complex corporate structures or multiple subsidiaries
Core Skills
Strong knowledge of board governance practices, policies, and regulatory compliance
Understanding of corporate law, filings, bylaws, and governance obligations
Ability to manage highly sensitive board and corporate information
Strong writing and communication skills for preparing board materials, minutes, and governance reports
Ability to coordinate multiple board meetings, filings, and governance deadlines
Accuracy in documenting board decisions, resolutions, and legal records
Ability to work with the Board, Chair, CEO, executives, and external advisors
Ability to interpret governance issues and recommend appropriate actions
Experience with board portals, governance software, and document management systems
Strong ethical standards and commitment to governance transparency
Work Environment / Work Arrangement
Primarily in-person at Glooscap Ventures, 410 Ben Jackson Road, Lockhartville, NS B0P 1P0, Canada (Glooscap Landing Reserve).
Work Schedule: 37.5 hours per week, 8:30 am to 4:00 pm, Monday to Thursday in person, remote on Fridays.
Regular interaction with senior executives, partners, and the public.
Occasional travel within Nova Scotia and Canada.
Occasional evening or weekend meetings may occur.
